MINUTES - BOARD OF DIRECTORS MEETINGS

Bel Air Kiwanis Club

Minutes of the January 7, 2009 Board of Directors Meeting

Call to Order:

The Bel Air Kiwanis Club held a Board of Directors’ Meeting immediately following the Regular Meeting on January 7, 2009 at the Main Street Tower Restaurant, North Main Street, Bel Air.  President Trish Weiss called the meeting to Order at 8:00 pm.  The following Board members were in attendance:

Secretary’s Report:

Doug DeWitt presented the minutes of the November 5, 2008 Board of Directors’ Meeting.  (There was no BOD meeting in December).  Following review, Drew Gilmartin made a motion to accept the minutes as presented.  The motion received a second from Matt Hopkins, was called by President Weiss and carried unanimously.  

Treasurer’s Report:

Treasurer Matt Hopkins reported that as of December 31, 2008 we have balances of $2,051.40 and $12,879.69 in the Administrative and Activities Accounts, respectively.  Details of December 2008 activity for both accounts were also contained in his report.  The report is attached hereto and made a part hereof.  Doug DeWitt made a motion to accept the Report as presented.  The motion received a second from Althea Conway, was called by President Weiss and carried unanimously.  

New Business - Insurance Matters:

Governor-Elect Don Dudey made a presentation on the Hylant Group general liability insurance policy provided to the Club through Kiwanis International.  Premiums on the policy are paid as part of the Clubs annual dues to International.  Don reviewed the provisions of the policy in detail.  He also provided a copy of the “General Liability 2008-09 Risk Management Packet.”  There was general agreement that the Policy is sufficient to cover any liability that the Club might incur.

Don also distributed a copy of his home Club’s “Sexual Harassment Policy.”  All members of the Reisterstown Club are required to sign an affidavit stating that they are aware of  the Policy.  The consensus of the Board was that we review the document for possible use by the Bel Air Club.  Final action was deferred until the February Board meeting.

Old Business - Annual Audit:

Matt Hopkins reported that the Finance Committee has not yet completed its annual audit of the Club’s accounting records.  Tax Form 990 must be filed by February 15, 2009.

Adjournment:

President Weiss adjourned the meeting at 8:35 pm.
